SELLING TERMS AND CONDITIONS OF SELTER, S.A
In these general conditions, the term "SELTER" will be understood to mean SELTER, SA, a private limited liability company that has its registered office at C/ Montnegre nº 52 of Girona, Spain and registered in the Reg. Merc. Girona, 7-2, 1968, H. No. 524, F. 16, T. 90, L. 27, Sec. 3, Ins. 3ª with VAT ES-A17004995.
2.1 These General Conditions apply to all legal relationships in which SELTER acts as a seller (potential) and / or provider of goods and / or services.
2.2 The applicability of the General Conditions of the other party are explicitly excluded.
2.3 These General Conditions can only be modified in writing.
3.1 All prices exclude VAT
3.2 SELTER has the right to modify the general price lists as a result of applying wage increases, the price of the cost of raw materials, or other materials and the variations derived from the exchange rates. Special product offers have a validity of 30 days.
3.3 All prices include packing.
4. PURCHASE ORDERS, DELIVERY PERIOD AND SHIPPING TERMS
4.1 The orders must be communicated in writing indicating all the necessary information for its correct sending and billing. Selter is not responsible for delays and setbacks caused by incorrect information.
4.2 Orders with a net amount of less than € 10.00 will have a charge of € 3.00 for handling and packaging.
4.3 The indicated delivery times are only estimates and are not binding for Selter.
4.4 Any delivery period agreed by the parties will begin as soon as:
- Selter accepted the order.
- The other party has approved the plans that Selter proposes.
- Initial payments have been settled.
- Any other previous condition has been met.
4.5 In case of delay in delivery, no economic sanctions will be accepted, nor compensation for damages that the delay may have caused.
4.6 Shipments will be sent postage due (Incoterm EX WORKS). It is the customer who organizes the collection.
4.7 Under no circumstances SELTER is responsible for the assembly and installation of its products.
5.1 Payment for the first transaction will be made by advance transfer.
5.2 SELTER invoices must be settled within a maximum period of 60 days from the date of the invoice and in the way indicated by SELTER.
5.3 Payments over 60 days will be charged at 2%.
5.4 Only advance payments will have a 2% discount (excluding the 1st transaction).
5.5 Payment must be made in Euros (€).
5.6 The other party can only object to an invoice within the payment deadline.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 SELTER reserves all property rights in all the documentation, brochures, images, etc., which provides to the other party.
6.2 Without the written consent of SELTER, the other party will not have the right to disclose to a third part the confidential Information referred to in the previous section.
7. CLAIMS AND RETURNS
7.1 Refunds will be not accepted after 30 days. All claims must be made in writing to Selter.
7.2 In case of admission of return, 100% will be paid after review of the returned material and only in case it has not suffered damages. Otherwise, the cost of repairing the original value will be deducted and the difference will be paid. If the product is not repairable, payment will not be made and the other party has the right to pick up the product at the Selter facilities.
7.3 No return of materials made expressly or with special measures will be accepted.
7.4 No product can be returned without written permission from Selter.
8. NUMBERS, MEASURES, WEIGHTS AND OTHER PARTICULARITIES
8.1 Small deviations regarding the designs, measurements, weight, numbers, colours and any other particularity that do not essentially affect the technical performance and / or operation of the products will be allowed.
8.2 The products supplied by SELTER are considered to be manufactured correctly if they meet the specifications established in the order confirmation.
9. APPLICABLE LAW / JURISDICTION
9.1 The Spanish law will govern the controversies that arise between SELTER and the other party.
9.2 The Vienna Sales Agreement (International Merchandise Sales Convention) will not apply.
9.3 Any dispute between SELTER and the other party will be presented before the court that has jurisdiction in the city where SELTER has its registered office, unless SELTER prefers that the court has jurisdiction in the place of residence or registered office of the other part.
